Terms of Service Agreement
Effective Date: June 12, 2026
This Terms of Service Agreement ("Agreement") is entered into by and between Purpose Gardens, a landscaping company ("Company," "we," "our," or "us"), and the client ("Client," "you," or "your"). By engaging our services, you agree to the following terms and conditions.
1. Services Provided
Purpose Gardens offers a range of landscaping services, including but not limited to:
Design and installation of Pollinator Gardens, Hummingbird Gardens, Vegetable Gardens, and more
Garden maintenance, including planting, pruning, and seasonal care
Landscape consultation and design services
Sustainable garden planning and eco-friendly landscape solutions
2. Service Fees
Pricing: The Client agrees to pay for the services as outlined in the project proposal or estimate provided by Purpose Gardens.
Payment Schedule: A 50% deposit is required at the time of booking, with the remaining balance due upon project completion. For ongoing maintenance contracts, fees will be invoiced monthly, with payments due within 15 days of the invoice date.
Late Payments: If payment is not made within the specified terms, the Company reserves the right to charge a late fee of 5% per month on any unpaid balance. Failure to pay may result in suspension of services until payment is received.
3. Project Timeline
The Company will provide an estimated timeline for the completion of services. While we strive to meet this timeline, unforeseen circumstances (e.g., weather conditions, supply chain delays, etc.) may cause adjustments to the schedule. We will notify you promptly of any significant delays or changes.
4. Client Responsibilities
Access: The Client is responsible for providing access to the property and ensuring there are no obstacles or safety hazards that may delay or hinder the work.
Permits: The Client is responsible for obtaining any necessary permits or approvals required by local authorities for landscaping or garden installations.
Property Integrity: The Client acknowledges that landscaping work may involve some disruption to the property (e.g., soil disturbance, lawn damage, etc.). While we take great care to minimize disruption, the Client accepts that some minor impact may occur.
5. Cancellations and Rescheduling
Cancellation Policy: The Client may cancel or reschedule the service up to 3 days before the scheduled start date without penalty. If the Client cancels or reschedules the service within 3 days of the scheduled start date, the Company reserves the right to retain the deposit as a cancellation fee.
Late Cancellations: If the Client cancels or reschedules after work has begun, the Client will be responsible for the costs of work completed up to that point, including any materials purchased for the project.
Company Cancellations: In the event the Company needs to cancel a scheduled service, we will provide at least 24 hours’ notice and will make reasonable efforts to reschedule the service at a mutually convenient time.
6. Warranty and Guarantees
Plant Warranty: We offer a 30 day warranty on plants installed by Purpose Gardens. This warranty covers plant replacement due to failure from causes such as improper installation. It does not cover damage caused by weather, pests, or neglect by the Client.
Plant Warranty: We offer a full plant warranty on plants installed by Purpose Gardens if the client has retained us for Monthly/Yearly maintenance.
Service Guarantee: We guarantee that all work performed will be done to the highest standards of quality. If the Client is not satisfied with the completed work, we will make reasonable efforts to address the concern.
7. Liability and Indemnification
Limitation of Liability: The Company’s liability for any claims, damages, or losses arising from services provided will be limited to the total amount paid by the Client for the specific service in question. The Company is not liable for any indirect, consequential, or punitive damages.
Indemnification: The Client agrees to indemnify and hold harmless Purpose Gardens, its employees, and agents from any claims, damages, or losses arising from the Client’s own actions or negligence, including but not limited to damage to property or injury to persons.
8. Dispute Resolution
Any disputes arising from or related to this Agreement will be resolved through informal negotiation. If a resolution cannot be reached, the parties agree to submit to mediation before pursuing any legal action.
9. Privacy and Confidentiality
Purpose Gardens respects your privacy and agrees to keep all personal information shared during the course of business confidential. We will not disclose any personal or project-related information to third parties without your consent, unless required by law.
10. Amendments
Purpose Gardens reserves the right to amend or modify this Agreement at any time. Any changes will be communicated to the Client, and continued use of our services after such modifications will be considered acceptance of the new terms.
11. Governing Law
This Agreement shall be governed by the laws of the State of Arizona, without regard to its conflict of law principles.
12. Acceptance of Terms
By accessing or using this website, mobile application, or any related services (collectively, the “Service”), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Agreement"). If you do not agree to these terms, you must not access or use the Service.
Your continued use of the Service constitutes your acceptance of this Agreement, including any future modifications. It is your responsibility to review the Terms periodically for updates. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to this Agreement.
